These terms apply alongside any signed proposal, statement of work, or service agreement issued for your specific project. Where a conflict exists, the signed project agreement takes precedence.

- Website design and development
- Search engine optimisation (SEO)
- Branding and creative direction
- Performance marketing and paid advertising
- [Insert additional service]
The exact scope, deliverables and exclusions for your project are defined in your individual proposal or service agreement, not on this page. Any service not explicitly listed in that agreement is considered out of scope unless agreed in writing.

Client Responsibilities
To keep your project on track, you agree to:
- Provide accurate, complete and timely information, content and assets when requested
- Review and approve deliverables within agreed timeframes
- Designate a single point of contact for project decisions, where applicable
- Ensure you have the necessary rights to any materials you provide us (text, images, logos, brand assets)
Delays caused by late feedback, missing assets or unresponsiveness on the client's part may affect the agreed project timeline.
Payment terms are set out in your individual proposal or invoice and may include a deposit, milestone-based payments, or a recurring retainer, depending on the service. In general:
- An initial deposit of [Insert %] is required before work begins, unless otherwise agreed
- Invoices are due within [Insert number] days of the invoice date
- Accepted payment methods are listed on each invoice
- Late payments may pause active work until the account is brought current
All fees are quoted in [Insert currency] and are exclusive of applicable taxes unless stated otherwise. Refund eligibility, if any, is defined in your specific service agreement.
Estimated timelines are provided in your project proposal, typically ranging from [Insert timeframe] depending on scope and complexity. These are good-faith estimates, not guarantees.
Timelines may shift due to factors outside our control, including delayed client feedback, scope changes, third-party dependencies, or force majeure events. We will communicate any material delay as soon as we become aware of it.
Upon full and final payment, ownership of the agreed final deliverables (e.g. website files, designs, brand assets created specifically for you) transfers to the client, unless otherwise stated in your project agreement.
ZEROVAITH retains the right to use underlying frameworks, tools, code libraries and general methodologies developed prior to or independently of your project. We may also showcase completed work in our portfolio, case studies and marketing materials unless you request otherwise in writing.
Any third-party assets used in your project (fonts, stock imagery, plugins, licensed software) remain subject to their original licence terms.
Both parties agree to keep confidential any non-public business, technical or financial information shared during the course of the project, and to use it only for purposes related to the engagement.
This obligation does not apply to information that is already public, independently developed, or required to be disclosed by law. Confidentiality obligations continue for a reasonable period after the project ends, as further defined in your project agreement.

Limitation of Liability
ZEROVAITH will perform services with reasonable skill and care. However, to the fullest extent permitted by law, we are not liable for indirect, incidental or consequential damages, including loss of profits, revenue or data, arising from your use of our services or deliverables.
Our total liability for any claim relating to a project is limited to the total fees paid by the client for that specific project in the [Insert period, e.g. 3 months] preceding the claim, except where such limitation is not permitted by applicable law.
Either party may terminate an active project with [Insert notice period, e.g. 14 days] written notice. Upon termination, the client is responsible for payment of all work completed and expenses incurred up to the termination date.
We reserve the right to pause or terminate services immediately in cases of non-payment, misuse of our services, or breach of these terms.
Some projects may rely on third-party platforms, tools or services (e.g. hosting providers, advertising platforms, analytics tools, plugins). These are governed by their own terms and privacy policies, which we encourage you to review.
ZEROVAITH is not responsible for outages, pricing changes, or policy changes made by third-party providers, though we will do our best to advise you of any material impact on your project.
